1.) Upon acceptance Buyer will place in escrow an earnest money deposit of $1.00 with AMERICAN TITLE ABSTRACT CORP, which will be part of the cash paid to the Seller when title transfers. This deposit will be returned to the Buyer if title does not transfer in accordance with this agreement. In the event of Buyer's default, deposit shall serve as Seller's sole remedy.
2.) The conditions of this Purchase Agreement are as follows:
a) Property is sold in "AS-IS" condition with no warranties made by the Seller. Seller will make Buyer aware of any known facts and/or defects that affect the value of the property.
b) Seller and tenant (if any) will make the property accessible to the buyer and other potential buyers for inspections, and appraisals prior to closing.
c) If one of Elite Acquisitions' end buyers makes an offer to purchase the subject property that is higher than the full purchase price specified in this Purchase Agreement, then Elite Acquisitions will proceed with purchasing the property from the Seller.
d) If Seller cannot provide clear title, Buyer will be released from any further obligation under this agreement; otherwise Seller promises to sell under this agreement.
e) Managing Member of the above-mentioned Limited Liability Company holds an active real estate license in the state of New Jersey.
3.) Taxes to be prorated.
4.) Risk of Loss: Seller is responsible for the risk of loss or damage to the property by fire or otherwise, except ordinary wear and tear, until the closing. Buyer has the option of accepting any insurance proceeds with title to the property in "as is" condition or of canceling this contract and accepting the return of the deposit.
5.) Closing will take place on at AMERICAN TITLE ABSTRACT CORP subject to a 90 day period in which the seller shall be permitted to clear any title problems. Title to the above described real estate to be conveyed by Warranty Deed or other customary instrument of transfer. Title is to be free, clear, and unencumbered, free of any county, city, federal, and all other liens. All liens against the property shall be paid at closing by the seller. Seller will receive funds via a certified bank check.
6.) This offer, when accepted, comprises the entire agreement of Purchaser and Seller, and it is agreed that no other representations have been made.
